Distributor & Wholesale Terms & Conditions

  1. Application of These Terms

These Terms & Conditions govern all supply relationships between Aura Bean Roastery (Pty) Ltd (“Aura Bean”) and any approved Wholesale Client or Distributor (“Client”).

These Terms apply equally and without distinction to both wholesale and distributor clients.

By creating an account, submitting an application, or placing an order, the Client agrees to be legally bound by these Terms.

  1. Legal Compliance

This Agreement is governed by the laws of the Republic of South Africa, including but not limited to:

  • Consumer Protection Act (CPA) 68 of 2008
  • Competition Act
  • Applicable food safety and labeling regulations

Nothing in these Terms excludes or limits rights that may not lawfully be excluded under the CPA.

The Client warrants that it:

  • Is a legally registered business
  • Complies with all applicable tax, trade, and regulatory obligations
  • Holds any required licenses for resale of food products
  1. Account Eligibility & Approval

Wholesale and distributor accounts are available only to registered businesses.

Aura Bean may request:

  • Business registration documentation
  • VAT number (if applicable)
  • Tax identification number

Aura Bean reserves the right to approve or decline any application at its sole discretion.

Account approval does not grant exclusivity unless expressly agreed in writing.

  1. Pricing & Payment
  • Wholesale pricing is confidential.
  • All prices exclude VAT unless otherwise stated.
  • Prices are subject to change upon notice.
  • Payment is required prior to dispatch unless credit terms are approved in writing.

Late payments may result in:

  • Interest at the maximum lawful rate
  • Suspension of supply
  • Withdrawal of credit facilities
  1. Minimum Order Quantities (MOQ)

Minimum order quantities may apply.

Aura Bean reserves the right to revise MOQs upon notice.

Where volume commitments are agreed, failure to meet performance targets may result in suspension or termination of account status.

  1. Delivery & Risk

Orders are processed after payment confirmation.

Risk transfers to the Client upon:

  • Collection by courier; or
  • Delivery to the Client’s premises

Delivery timelines are estimates only.

Clients must inspect goods within 48 hours of receipt.

  1. Returns & Perishable Goods Policy

Coffee is classified as a perishable product.

7.1 General Policy

Returns are accepted only where:

  • The incorrect product was supplied; or
  • The product is defective under the CPA

Returns based on preference, slow sales, surplus stock, or over-ordering are not permitted.

Nothing in this clause overrides statutory rights under the CPA.

7.2 Claims Procedure

Clients must:

  • Notify Aura Bean within 48 hours of delivery
  • Provide written description and photographic evidence
  • Retain original sealed packaging

If validated, Aura Bean may at its discretion:

  • Replace the product
  • Issue credit
  • Refund the purchase price

7.3 Storage Responsibility

The Client is solely responsible for proper storage and stock management after risk transfers.

Improper storage, mishandling, or exposure to heat/moisture voids quality claims.

  1. Freshness Policy

Aura Bean operates a roast-to-order model.

  • Coffee is roast-dated.
  • Clients must implement FIFO (First-In, First-Out) inventory rotation.
  • Coffee should not be marketed as “fresh” beyond reasonable freshness standards.
  • Roast dates may not be altered, removed, or obscured.

Misrepresentation of freshness may constitute a breach of the CPA and this Agreement.

  1. Intellectual Property & Brand Protection

All trademarks, logos, packaging designs, and brand assets remain the exclusive property of Aura Bean.

The Client may not:

  • Repackage products
  • Remove or alter labels
  • Apply foreign branding
  • Sell under alternative branding
  • Reverse engineer blends
  • Resell green beans supplied by Aura Bean

Private label manufacturing requires a separate written agreement.

Aura Bean reserves the right to audit compliance.

  1. Minimum Advertised Price (MAP)

Clients agree to comply with Aura Bean’s Minimum Advertised Price (MAP) Policy.

Advertising below designated MAP pricing may result in:

  • Written warning
  • Account suspension
  • Termination
  1. Confidentiality

Wholesale pricing, trade terms, and commercial arrangements are confidential and may not be disclosed to third parties without written consent.

  1. Limitation of Liability

To the maximum extent permitted by law:

  • Aura Bean’s liability is limited to the purchase value of the affected goods.
  • Aura Bean is not liable for indirect or consequential damages.

This clause does not exclude liability that cannot lawfully be excluded under the CPA.

  1. Termination

Aura Bean may suspend or terminate an account for:

  • Non-payment
  • Brand misuse
  • Misrepresentation
  • MAP violations
  • Regulatory non-compliance
  • Breach of these Terms

Termination does not extinguish outstanding payment obligations.

  1. Amendments

Aura Bean may update these Terms periodically.

Continued use of the account or placement of orders constitutes acceptance of the revised Terms.

Website Acceptance Clause

☐ I confirm that I am a registered business representative authorised to bind the company.
☐ I acknowledge that these Terms apply equally to wholesale and distributor accounts.
☐ I agree to comply with Aura Bean Roastery’s Distributor & Wholesale Terms & Conditions and Privacy Policy.
